Business Partner Agreement

Agreement Acceptance
This Business Partner Agreement ('Agreement') governs the relationship between Osaka Nightlife Network and businesses that participate in the Platform as Business Members. By applying for Business Membership or listing a business on the Platform, you agree to the terms of this Agreement, our Terms of Service, and all applicable policies.
Business Eligibility
To be eligible for Business Membership, you must represent a legitimate, operating business in the nightlife, hospitality, or related industries. You must provide accurate business information, including legal business name, address, contact details, and tax identification where applicable. We reserve the right to verify business information and decline or revoke membership.
Business Member Obligations
Business Members must maintain accurate and up-to-date business information, respond to member inquiries in a timely manner, operate lawfully and ethically, comply with all applicable licenses and regulations, and not engage in deceptive or fraudulent practices. Business Members are responsible for all content posted on their business profile and are liable for the accuracy of their listings.
Platform Responsibilities
We will provide the Platform infrastructure for business listings, member networking, and associated features. We will maintain the Platform's functionality, provide reasonable support, and protect member data in accordance with our Security Policy. We are not responsible for business transactions conducted outside the Platform or disputes between members and businesses.
Membership Fees
Business Membership may require payment of membership dues as published on the Platform. Fees are payable in advance and are non-refundable except as provided in our Payment & Refund Policy. We may change membership fees with reasonable notice. Continued use of the Platform after a fee change constitutes acceptance of the new fees.
Term and Termination
This Agreement remains in effect while your Business Membership is active. Either party may terminate this Agreement by closing the business account. We may terminate this Agreement immediately for violation of our Terms, policies, or applicable laws. Upon termination, your business listing will be removed and associated data handled per our Data Retention Policy.
Limitation of Liability
The Platform is provided 'as is' for business purposes. We are not liable for business losses, lost profits, or damages arising from the use of the Platform. Our total liability under this Agreement is limited to the membership fees paid in the preceding twelve months. Businesses are responsible for obtaining appropriate insurance coverage.
Changes to This Business Partner Agreement
We reserve the right to update or modify this document at any time. Any changes will be effective immediately upon posting the revised version on the Platform. We will update the 'Last Updated' date indicated above. Your continued use of the Platform following the posting of changes constitutes your acceptance of the updated document.
